As Senior Legal Counsel – Caremark you will provide strategic legal and regulatory counsel to internal business partners with respect to market conduct exams and healthcare regulations and laws. You will proactively advise business partners on a wide variety of matters and work collaboratively with other attorneys and partners on matters related to legal and regulatory compliance.

You will identify business and legal risks and provide solutions which balance legal issues and business objectives. You will be expected to develop a keen understanding of the business and operational goals of assigned internal clients and work diligently to develop and maintain engaged and supportive relationships with clients at all levels of the organization.

You will support CVS Health, particularly Caremark, and provide advice and legal counsel on investigation and enforcement matters related to PBM compliance (state market conduct exams); assist with the development of audits and examinations of the PBM; and oversee all legal matters related to examinations and support resolution of any enforcement matters.

You will independently coordinate and oversee multiple legal issues and risk assessments often within short timelines with high visibility and significant importance to the organization. You will work in a highly matrixed organization and be able to support legal issues cross-functionally that may impact a variety of different areas across the Company.

As part of the Legal team, you will gain experience working with a dynamic in-house legal department and play a key role in supporting the business. You will further develop your skills in a regulated environment.

Major Responsibilities

  • Serve as senior legal counsel for CVS Health’s PBM, Caremark.

  • Provide primary legal support for market conduct exams and audits for Caremark

  • Advise clients with respect to the application of federal and state laws and regulations to the Company’s business activities

  • Research and maintain current knowledge of applicable federal, state, local and insurance laws related to pharmacy benefit managers and market conduct standards

  • Work collaboratively with Compliance, Government Affairs, Provider Network and business operations teams with respect to advising and supporting market conduct exams and audits;

  • Support the legislative mandate office by providing guidance on proposed and newly enacted state laws impacting Caremark and its clients;

  • Consult with other subject matter legal/compliance experts, including, Provider Network Counsel, Regional Counsel, Litigation, Government Affairs, Privacy, and Compliance.

Required Qualifications

  • 8+ years of legal attorney experience in a law firm and/or in-house setting

  • Experience handling healthcare regulatory matters (PBM, healthcare, pharmaceutical, etc.)

  • Experience interacting with government regulators or agencies and/or third-party auditors or examiners with respect to healthcare matters

  • Admitted to practice law in at least one state and in good standing of applicable bar association(s)

Preferred Qualifications

  • Strong knowledge of healthcare laws and regulations

  • Background or some experience in litigation or dispute resolution

  • Experience managing and/or collaborating with outside counsel

  • Preference will be given to candidates who reside in the east coast time zone

Education

  • Juris Doctor (JD) is required

  • Bachelor’s Degree is required

Pay Range

The typical pay range for this role is:

$175,100.00 - $334,750.00

This pay range represents the base hourly rate or base annual full-time salary for all positions in the job grade within which this position falls. The actual base salary offer will depend on a variety of factors including experience, education, geography and other relevant factors. This position is eligible for a CVS Health bonus, commission or short-term incentive program in addition to the base pay range listed above. This position also includes an award target in the company’s equity award program.
